Welcome to WholeWell RN. By accessing or using this website, directory, or any related services (collectively, the “Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use the Platform.

1. About WholeWell RN

WholeWell RN is an online platform designed to connect individuals, families, and organizations with independent nurse professionals and nurse-owned businesses. WholeWell RN also provides educational resources and opportunities that support nurse entrepreneurship.

WholeWell RN is not:

  • A hospital or healthcare facility

  • A home health agency

  • A staffing agency or employment service

  • A telehealth provider

  • A medical practice

  • An insurance company

  • A replacement for emergency services

WholeWell RN does not supervise, direct, or control the independent professional services provided by nurses listed on the Platform.

2. Eligibility

You must be at least 18 years old and legally capable of entering into binding agreements to use this Platform. By using the Platform, you represent that you meet these requirements.

3. Independent Nurse Relationships

Nurses and nurse-owned businesses listed on WholeWell RN are independent professionals. They are not employees, agents, partners, or representatives of WholeWell RN.

Each nurse is solely responsible for:

  • Maintaining required licenses and certifications

  • Practicing within their legal scope of practice

  • Complying with applicable laws and regulations

  • Obtaining any necessary insurance

  • Setting their own pricing, policies, and service terms

  • Providing services safely and professionally

4. No Medical Advice

Information on the Platform is provided for informational purposes only and should not be considered medical, legal, or financial advice.

Always consult an appropriate licensed professional regarding medical concerns. Never delay seeking medical care because of information found on this Platform.

5. Emergencies

WholeWell RN is not intended for emergencies.

If you believe you are experiencing a medical emergency, call 911 or your local emergency services immediately or go to the nearest emergency department.

6. Verification

WholeWell RN may verify certain information submitted by nurses, including identity or professional licensure.

Verification does not constitute:

  • An endorsement

  • A guarantee of competency

  • A guarantee of future conduct

  • A warranty of services

  • A promise of successful outcomes

Users should independently evaluate any professional before engaging their services.

7. User Responsibilities

By using the Platform, you agree to:

  • Provide truthful and accurate information

  • Use the Platform lawfully

  • Respect the rights and privacy of others

  • Not misrepresent your identity or credentials

  • Not interfere with Platform operations or security

  • Not upload malicious software or harmful content

8. Prohibited Conduct

Users may not:

  • Misrepresent qualifications or licensure

  • Practice outside applicable legal authority

  • Engage in fraud or deceptive practices

  • Infringe on intellectual property rights

  • Harass, threaten, or discriminate against others

  • Violate privacy or confidentiality obligations

  • Use the Platform for unlawful purposes

  • Post false, defamatory, or misleading content

WholeWell RN reserves the right to suspend or remove accounts or content that violate these Terms.

9. Payments and Memberships

If paid memberships or premium services are offered:

  • Fees and billing terms will be disclosed before purchase.

  • Unless otherwise stated, fees are non-refundable.

  • WholeWell RN may modify pricing or membership offerings prospectively.

Independent nurses are responsible for their own pricing, billing, taxes, and business operations.

10. Client and Nurse Agreements

Any agreement for services is made directly between the client and the independent nurse or nurse-owned business.

WholeWell RN is not a party to those agreements and is not responsible for:

  • Scheduling

  • Performance of services

  • Billing disputes

  • Refunds

  • Cancellations

  • Clinical decisions

  • Outcomes of care

11. Reviews and User Content

Users may submit reviews or other content, provided it is truthful and respectful.

WholeWell RN may remove content that is:

  • Fraudulent

  • Offensive

  • Defamatory

  • Spam

  • Misleading

  • In violation of these Terms or applicable law

By submitting content, you grant WholeWell RN a non-exclusive license to display and use that content in connection with operating the Platform.

12. Intellectual Property

All Platform content, including logos, branding, graphics, text, and software, is owned by or licensed to WholeWell RN and is protected by applicable intellectual property laws.

You may not copy, reproduce, or distribute Platform materials without permission.

13. Privacy

Your use of the Platform is also governed by our Privacy Policy. By using WholeWell RN, you acknowledge that you have reviewed and understand that policy.

14. Disclaimer of Warranties

The Platform is provided “as is” and “as available” without warranties of any kind, express or implied.

WholeWell RN makes no guarantees regarding:

  • Availability or uptime

  • Accuracy or completeness of listings

  • Suitability of professionals

  • Service quality

  • Business opportunities

  • Financial results

  • Medical outcomes

15. Limitation of Liability

To the fullest extent permitted by law, WholeWell RN and its owners, officers, employees, affiliates, and representatives shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from or related to:

  • Use of the Platform

  • Reliance on directory information

  • Interactions between users

  • Services provided by independent professionals

  • Loss of data, revenue, profits, or opportunities

16. Indemnification

You agree to defend, indemnify, and hold harmless WholeWell RN and its affiliates from claims, damages, liabilities, costs, and expenses arising from:

  • Your use of the Platform

  • Your violation of these Terms

  • Your violation of applicable law

  • Your infringement of another party’s rights

17. Termination

WholeWell RN may suspend or terminate access to the Platform at its discretion, with or without notice, for conduct that violates these Terms or threatens the integrity or security of the Platform.

18. Changes to These Terms

WholeWell RN may update these Terms from time to time. Continued use of the Platform after changes become effective constitutes acceptance of the revised Terms.

19. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles, unless otherwise required by applicable law.
