Terms & Conditions

Effective Date: 12/2/2025

These Terms & Conditions (“Terms”) govern your use of the WholeWell RN / WholeWell Network LLC website(s), platform, educational content, directory, and services (collectively, the “Platform”). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must discontinue use of the Platform immediately.

1. Definitions

For purposes of this Agreement, the following definitions apply:

1.1 “WholeWell,” “We,” “Us,” or “Our”
Refers to WholeWell RN / WholeWell Network LLC, including its owners, affiliates, employees, contractors, agents, and digital systems.

1.2 “User,” “You”
Any individual or entity accessing, using, registering, or purchasing through the Platform.

1.3 “Provider,” “Nurse Provider,” or “Nurse User”
Any nurse, wellness provider, or nurse-owned business creating a listing, profile, or offering services through the Platform.

1.4 “Client,” “Seeker,” or “Customer”
Any individual or entity using the Platform to locate or connect with a Nurse Provider.

1.5 “Third-Party Course Provider(s)”
External parties who own, author, create, or license Educational Content hosted or accessed through the Platform.

1.6 “Educational Content” or “Content”
All courses, videos, documents, training modules, and digital materials accessible on the Platform, owned by Third-Party Course Providers.

1.7 “Listing” or “Provider Profile”
A publicly visible profile created by a Nurse Provider for the purpose of being contacted by Clients.

1.8 “Platform” or “Website”
The WholeWell RN / WholeWell Network LLC website(s), directory, software, and digital systems.

2. Nature of WholeWell’s Role

2.1 Not a Healthcare Provider

WholeWell does not:

  • Provide medical or nursing care;
  • Supervise or manage Providers;
  • Offer patient triage, diagnosis, or treatment; or
  • Employ or contract nurses to deliver care.

Providers operate independently and are not employees or agents of WholeWell.

2.2 Platform-Only Function

WholeWell functions solely as:

  • A directory where Providers may list their services;
  • A platform for connection between Clients and Providers;
  • A technology facilitator for accessing Educational Content; and
  • A payment processor for third-party course access and certain platform services.

WholeWell does not guarantee:

  • Employment or revenue for Providers;
  • Client acquisition;
  • Accuracy of listings; or
  • Outcomes of services provided.

3. Relationship to Educational Content

3.1 Ownership

WholeWell does not own the Educational Content. All such materials are the exclusive property of Third-Party Course Providers.

3.2 WholeWell’s Limited Role

WholeWell:

  • Licenses access to Educational Content;
  • Provides platform hosting; and
  • Processes payments for access.

WholeWell does not:

  • Create or author the Educational Content;
  • Review Content for accuracy or completeness;
  • Guarantee achievement of learning outcomes; or
  • Provide academic credit, licensure preparation, or certification unless clearly stated.

3.3 No Endorsement

WholeWell does not endorse or guarantee:

  • The qualifications of Third-Party Course Providers;
  • The suitability or completeness of any Educational Content; or
  • Compliance of the Content with regulatory, professional, or licensure requirements.

4. Intellectual Property

4.1 WholeWell IP

All platform systems, design, graphics, workflow, trademarks, and software belong exclusively to WholeWell Network LLC. Users receive no ownership rights in the Platform.

4.2 Third-Party Course Provider IP

All Educational Content is the exclusive intellectual property of the respective Third-Party Course Providers. Users are granted a limited, non-exclusive, non-transferable, revocable license to access Content solely through the Platform for personal educational use.

Users may not:

  • Copy, download, or screen-record Content;
  • Reproduce, distribute, or sell Content;
  • Modify or repost Content outside the Platform; or
  • Use Content in any unauthorized manner.

Violations may result in account termination, revocation of access, and/or legal action.

5. Nurse Provider Terms

The following provisions apply specifically to Providers.

5.1 Eligibility

By creating a Provider Profile or listing, you represent and warrant that you:

  • Are at least 18 years of age;
  • Hold valid nursing licensure and/or applicable credentials in your jurisdiction, if required for your services;
  • Have provided accurate, truthful identity and licensure information; and
  • Maintain your own professional and/or general liability insurance, as applicable.

5.2 No Employment Relationship

Providers are independent entities. WholeWell does not:

  • Employ Providers;
  • Train, supervise, or manage Providers;
  • Set Provider pricing, schedules, or scope of services; or
  • Provide malpractice or professional liability coverage.

5.3 Provider Responsibilities

Providers agree to:

  • Maintain accurate and current listing information;
  • Operate strictly within their legal scope of practice and licensure;
  • Comply with all applicable federal, state, and local laws and regulations;
  • Behave in a professional and ethical manner with Clients; and
  • Promptly update WholeWell if licensure or eligibility to practice changes.

Providers are strictly prohibited from:

  • Misrepresenting identity, licensure, or credentials;
  • Providing services outside of legal scope of practice;
  • Offering emergency, triage, or crisis care through the Platform; or
  • Uploading fraudulent or altered documents.

WholeWell may edit, suspend, or permanently remove a listing at its sole discretion for any suspected violation.

5.4 Provider Indemnification

Providers agree to indemnify, defend, and hold harmless WholeWell RN / WholeWell Network LLC from any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Services provided or not provided to Clients;
  • Misrepresentation of identity, credentials, or qualifications;
  • Professional negligence, malpractice, or misconduct; and
  • Any violation of applicable laws or these Terms.

6. Client Terms

The following provisions apply specifically to Clients/Seekers.

6.1 WholeWell Is Not a Healthcare Provider

Clients acknowledge that WholeWell:

  • Does not provide medical or nursing care;
  • Does not supervise or monitor Providers;
  • Does not verify the ongoing competency of Providers; and
  • Is not a party to any agreement between Clients and Providers.

Use of the Platform does not create a patient–provider relationship with WholeWell.

6.2 Client Responsibilities

Clients agree to:

  • Use the Platform for lawful purposes only;
  • Conduct their own due diligence on any Provider before engaging services;
  • Communicate directly with Providers regarding services, expectations, and pricing;
  • Seek emergency assistance through appropriate channels (such as 911) and not through the Platform; and
  • Refrain from requesting illegal, unethical, or unsafe services.

6.3 No Emergency or Crisis Use

The Platform must not be used for emergency or crisis situations, including but not limited to:

  • Medical emergencies;
  • Suicidal or self-harm crises; or
  • Any condition requiring immediate medical attention.

If you are experiencing an emergency, call 911 or your local emergency number immediately.

6.4 Client Indemnification

Clients agree to indemnify, defend, and hold harmless WholeWell RN / WholeWell Network LLC from any and all claims, damages, losses, liabilities, costs, and expenses arising from:

  • Services obtained from Providers through the Platform;
  • Disputes or communications between Clients and Providers; and
  • Any misuse of the Platform or violation of these Terms.

7. Payments & Refunds

7.1 Payment Processing

WholeWell processes payments for Educational Content, Provider listings, memberships, and certain services offered through the Platform. By making a purchase, you authorize WholeWell or its payment processors to charge your selected payment method for the applicable amounts.

7.2 Refund Policy for Educational Content

Unless otherwise specified by a particular Third-Party Course Provider, refunds for Educational Content are permitted only if:

  • The refund request is submitted within fourteen (14) days of purchase; and
  • The User has accessed no more than ten percent (10%) of the course or content; and
  • No downloadable materials have been fully accessed or saved.

Once these thresholds are exceeded, all sales are considered final and non-refundable.

7.3 Refund Policy for Provider Listings

Fees paid for Provider listings, membership plans, or directory placement are generally non-refundable, except where required by applicable law or explicitly stated otherwise in writing by WholeWell Network LLC.

8. Third-Party Terms & External Links

8.1 Third-Party Provider Terms

Access to certain Educational Content or services may be subject to additional terms, policies, or license agreements established by Third-Party Course Providers or other third parties. By accessing such Content, you agree to comply with those third-party terms, which are in addition to these Terms.

8.2 External Links

The Platform may contain links to external websites, services, or resources. WholeWell Network LLC is not responsible for:

  • The content, products, services, or policies of third-party websites;
  • Any damages or losses arising from use of third-party sites; or
  • The security or privacy practices of such external sites.

Use of third-party websites is at your own risk.

9. Disclaimers & Limitation of Liability

9.1 “As-Is” Disclaimer

The Platform, Educational Content, and all services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

9.2 Limitation of Liability

To the fullest extent permitted by law, WholeWell RN / WholeWell Network LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, profits, data, goodwill, or other intangible losses, arising out of or in connection with:

  • Your access to or use of the Platform;
  • Any conduct or content of any user or third party, including Providers and Course Providers;
  • Any Content accessed through the Platform; or
  • Unauthorized access, use, or alteration of your transmissions or data.

In no event shall WholeWell’s total aggregate liability exceed the lesser of: (a) the amount you paid to WholeWell for the specific service or course giving rise to the claim, or (b) one hundred U.S. dollars (USD $100).

10. Termination

WholeWell may, in its sole discretion, suspend or terminate your access to all or part of the Platform, including any account or Listing, at any time and for any reason, including but not limited to:

  • Suspected fraud or misuse;
  • Violation of these Terms;
  • Engagement in illegal, unsafe, or unethical behavior; or
  • Requests by law enforcement or regulatory authorities.

Upon termination, your right to use the Platform will immediately cease. Certain provisions of these Terms, including but not limited to indemnification and limitation of liability, will survive termination.

11. Dispute Resolution & Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform shall be resolved by binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.

You and WholeWell agree that:

  • There shall be no right or authority for any dispute to be brought, heard, or arbitrated as a class action;
  • Arbitration will be conducted in the state where WholeWell is registered, under applicable arbitration rules; and
  • Each party is responsible for its own attorneys’ fees, subject to any shifting that may be awarded by the arbitrator under applicable law.

12. Governing Law

These Terms and any disputes arising out of or related to them shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.

13. Modifications to Terms

WholeWell reserves the right to modify or update these Terms at any time. Changes will be effective when posted on the Platform with an updated “Effective Date.” Your continued use of the Platform after such changes constitutes your acceptance of the revised Terms.
